This seminar, held at 9:30 AM in one of the historic business conference halls of the Paris City Hall, began with a presentation by Ms. Mina Alavash, who addressed essential considerations in drafting international commercial contracts. She initiated her talk by discussing the preliminary agreements reached during negotiations between business parties, documents often referred to as an “agreement” or “memorandum of understanding (MOU).” Ms. Alavash emphasized the importance of using specialized and legal terminology due to the legal implications these terms carry in such documents.
She noted that the drafting process fundamentally includes three key components:
- The obligations of the parties involved,
- Payment terms and delivery methods, and
- The identification of the signatories to the agreement or contract, each of whom plays a crucial role in the drafting process.
Following a welcome message to the group of Iranian business executives and industry leaders by Mr. Baki Manesh and Mr. Jean-Charles Albiter, the session continued with discussions on dispute resolution, arbitration and arbitration centers, contract termination and its consequences, and force majeure clauses.
At the end of this section, both speakers responded to key questions raised by attendees regarding commercial contracts. Some of the questions included:
- Financial complications arising from non-payment,
- Product delivery (the agreement should specify product quality and on-time delivery as per the buyer’s request),
- Payment terms (the agreement should clearly state that all payments are to be made on a specific date unless the seller claims an early payment is required),
- Transportation arrangements, which may involve ports in various countries,
and many other questions posed by participants, all of which were addressed thoroughly.
Another speaker at the event, Dr. Spasova, gave an extensive talk on how to launch startups in France, the process of joining the CEEVO organization, and the structure and activities of this organization.
Italy – Rome:

This seminar, which included two topics (an overview of the TAX, Properties, and Real Estate issues, and also the investments in international commercial contracts, commercial interactions in the Italian market), started at 9:30 in the legal building of CBA in Rome. The speakers, in the order of their names in the list above, discussed important issues from company registration in Italy to taxes and disputes in the business process in Europe, especially in Italy. In this seminar, Dr. Arianna Valenza, one of the managers of the CBA legal office, announced this office’s readiness to accept legal cases of Iranian business activities, such as writing business contracts to judgments. She added that the lawyers of this office can even follow every step of Iranian residency requirements in Italy and also check the issues of the case online and advance the issues with foreign parties.
The other speakers of CBA cleared up the investment procedures that can be run legally under the guidance of Italy, and the legal advice of CBA lawyers.
The other speaker of this meeting was Dr. Pier Luigi d’Agata, the Secretary General of the Italy-Iran Joint Chamber of Commerce, who used very accurate export and import statistics information regarding the trade between the two countries and also announced the readiness of Italy- Iran joint chamber of Commerce to cooperate with Iran or Italy export and import of productions.
At the end of this seminar, a consultation and B2B session were held with Iranian and Italian businesspeople, and all questions were answered.
